How does an NPC apply to become a registered Nonprofit Organisation? #
An incorporated Non-Profit Company (NPC) may separately apply for registration as a Nonprofit Organisation (NPO) with the Department of Social Development.
The CIPC company registration and the Department’s NPO registration are different processes. An NPC is not a registered NPO merely because the names sound similar.
What must be submitted? #
Current government guidance requires the application form and two copies of the organisation’s founding documents. For a company, this includes the relevant incorporation and founding documents.
The founding document must meet the requirements of section 12 of the Nonprofit Organisations Act. The Department decides whether the application meets the Act.
Is there a government application fee? #
The current South African Government page states that NPO registration is free. Any fee charged by an independent service provider is a separate service fee, not a Department of Social Development fee.
Start My Company currently lists NPO-registration assistance as a separate available service. Check the current scope and price through Start My Company Support before requesting it.
What happens after registration? #
A registered NPO must submit annual reports within nine months after its financial year-end. Current Department guidance describes a narrative report, annual financial statements and an accounting officer’s report, together with applicable changes.
Failure to maintain reporting can lead to cancellation of the NPO registration.
Does NPO registration create tax exemption? #
No. Tax exemption requires a separate SARS process. A registered NPO must still deal with income-tax registration and, where appropriate, apply for Public Benefit Organisation approval.
