What must a new NPC do about beneficial ownership? #
A newly incorporated Non-Profit Company (NPC) must make the required beneficial-ownership filing with the Companies and Intellectual Property Commission (CIPC).
Beneficial ownership concerns the natural people who ultimately own or exercise effective control over a company, where applicable. A natural person is a human being rather than another organisation.
An NPC without legal company members may have no beneficial owners to declare, but that does not remove the filing obligation. The company must submit the required declaration and register information for its actual position.
What is the current deadline? #
The live portal and CIPC guidance state that initial beneficial-ownership information must be filed within 10 business days after registration. CIPC also requires information to be updated when it changes and at least annually with the annual return.
This rule and the filing system can change. Check CIPC immediately when the NPC is registered.
What may be needed? #
Depending on the NPC, the filing may require:
- authority or a mandate for the filer;
- the appropriate beneficial-ownership or control declaration;
- an NPC member, control or beneficial-interest register as applicable;
- certified identity documents; and
- other supporting records.
Do not copy another organisation’s register. The filing must reflect the new NPC’s actual structure and control.
What happens if it is not done? #
CIPC can prevent completion of the annual return when beneficial-ownership information is not up to date. Late annual returns can lead to penalties, enforcement and possible deregistration.
