What does “without legal company members” mean for my church or Soul Center? #
It means the Non-Profit Company (NPC) does not have a separate group of people who hold formal membership rights under company law.
It does not mean your church or Soul Center cannot have members, attendees, volunteers, donors or supporters.
Two meanings of “member” #
In ordinary church life, a member may be someone who belongs to the congregation, participates in worship or is recognised under the church’s pastoral rules.
In an NPC, a legal company member is someone given formal company rights by the Memorandum of Incorporation (MOI). The MOI is the company’s founding document.
These are separate ideas. A church may have 100 congregation members while its NPC has no legal company members.
Who governs an NPC without legal company members? #
Its directors govern it. Directors are the people formally appointed to the board and responsible for the company’s decisions.
The current service uses CIPC Form CoR 15.1C. This is the Short Standard Form for an NPC without legal company members. It is suitable only where the standard structure meets the organisation’s needs.
What does not change? #
The church may continue to decide who belongs to its congregation, who participates in ministry and how pastoral or religious matters are handled, subject to its own applicable rules and the law.
Those internal religious arrangements do not automatically create legal company membership or director status.
When may this structure be unsuitable? #
It may be unsuitable if the organisation wants a formal legal membership body with defined voting or appointment rights, needs specially drafted governance provisions, or has an existing legal structure that must be integrated carefully.
Do not use the standard application simply because it is available. Use Start My Company Support before continuing. The matter may require advice from an appropriately qualified South African attorney.
