What happens when directors change after the NPC is registered? #
The Non-Profit Company (NPC) continues to exist when a director resigns, dies or is replaced. The company must follow its Memorandum of Incorporation (MOI), the Companies Act and the required Companies and Intellectual Property Commission (CIPC) process.
What must the company do? #
The board must deal with the vacancy or appointment under the MOI and record the decision correctly.
CIPC Form CoR 39 is the Notice of Change of Directors. CIPC’s form states that it must be filed within 10 business days after a change in the board’s composition or director information.
The current portal’s standard MOI choice also records how replacement or additional directors will be appointed in future. Directors must follow the choice recorded for their company.
Does a new pastor automatically replace a director? #
No. A change in a church role does not automatically change the CIPC company record. The organisation must complete the correct company process.
Likewise, a person who resigns from ministry may remain a recorded director until the company completes the required steps. Deal with both the internal decision and the official company record.
Keep at least the required minimum #
An NPC must have at least three directors unless its MOI requires more. Do not allow the board to remain below the applicable minimum.
