What is the difference between an incorporator, a director and a legal company member? #
An incorporator, a director and a legal company member are different roles. One person can sometimes hold more than one role, but the words do not mean the same thing.
What is an incorporator? #
An incorporator is a person who participates in formally establishing the company and signs the incorporation document.
Being an incorporator does not make that person the owner of the NPC’s money or property. The role is connected mainly with creating the company.
What is a director? #
A director is a person formally appointed to the board of the NPC. The board directs and governs the company.
Directors make company decisions, safeguard its interests, keep it within its purposes and oversee compliance. They have duties under the Companies Act. A religious title such as pastor, elder or ministry leader does not automatically make someone a company director.
What is a legal company member? #
Some NPCs have a separate legal membership body. Those members receive formal rights under the company’s Memorandum of Incorporation (MOI), which is its founding document.
Legal company membership is not the same as belonging to a church or attending a Soul Center. A congregation member, volunteer, donor or supporter does not automatically become a legal company member.
Which structure does this service support? #
The present service uses CIPC Form CoR 15.1C, the Short Standard Form for an NPC without legal company members. The proposed directors govern the company. The church can still have its ordinary religious and community membership.
The service requires at least three proposed directors. The current portal accepts up to 12 directors. Every proposed director must provide the required legal details and a certified identity document or valid passport, as applicable.
Why does the distinction matter? #
Confusing these roles can lead to incorrect decisions. A founder may assume that founding the NPC gives lifelong control. Congregation members may assume that church membership gives voting rights in the company. A director may treat the role as honorary and overlook legal duties.
